1. Acceptance of Terms

By creating an account, purchasing a membership, or using any Retail Blackbook services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree to these Terms, you may not use our services.

2. Membership Eligibility and Use

Retail Blackbook is a private buying club offering access to wholesale or preferred pricing through approved vendor partners.

  • You must be 18 years or older to join and use our services.
  • Memberships are intended for personal or household use unless otherwise agreed upon in writing for professional/business accounts.
  • Each membership is non-transferable and may only be used by the registered member and their immediate household.
  • Business or trade accounts must be explicitly approved and may have different terms.

3. Confidential Pricing Policy

All pricing, discounts, product catalogs, and vendor access information provided by Retail Blackbook are strictly confidential and proprietary.

You expressly agree to the following:

  • No Sharing: You will not share, distribute, publish, or disclose any pricing, quotes, vendor names, product catalogs, or access information with non-members, vendors, manufacturers, competitors, or on social media platforms, review sites, or public forums.
  • Personal Use Only: Pricing and vendor information may only be shared within your immediate household or with professionals directly involved in your personal project (e.g., your interior designer or contractor working on your home), provided they agree to maintain confidentiality.
  • No Commercial Use: Members may not use Retail Blackbook pricing or access to resell products, operate a competing business, or engage in unauthorized commercial activity without express written permission.
  • Violation Consequences: Any violation of this confidentiality agreement will result in immediate termination of your membership, forfeiture of all membership fees without refund, and potential legal action for damages.

Maintaining the integrity and confidentiality of our vendor relationships is critical to the continued success of the Retail Blackbook program and benefits all our members.

4. Membership Fees and Payment Terms

  • Membership Fees: Membership fees are charged according to the plan you select (monthly or annual) and must be paid in full at the time of enrollment or renewal.
  • Non-Refundable: All membership fees are non-refundable except as required by law or as explicitly stated in these Terms.
  • Automatic Renewal: Memberships automatically renew at the end of each billing period unless you cancel prior to the renewal date. You will be charged the then-current membership rate.
  • Product Payment: Payment for furniture and products ordered through Retail Blackbook is separate from membership fees and is due according to the payment schedule provided with each order quote.
  • Processing Fees: Small administrative or processing fees may apply to certain orders as disclosed at the time of purchase.
  • Payment Methods: We accept major credit cards, debit cards, ACH transfers, and other payment methods as indicated on our platform.
  • Failed Payments: If payment fails, your membership may be suspended until payment is successfully processed. Continued failure to pay may result in termination of your account.

5. Orders and Fulfillment

  • Order Submission: All orders must be submitted through official Retail Blackbook channels including our website, email ([email protected]), phone (651-358-2315), or text.
  • Purchasing Agent: Retail Blackbook acts as your authorized purchasing agent. We coordinate with vendors on your behalf and facilitate transactions to provide you with wholesale pricing.
  • Order Confirmation: Once an order is placed and paid, you will receive written confirmation including estimated delivery timeframes and any relevant order details.
  • Delivery: Delivery timelines, methods, and costs vary by vendor, product, and location. We coordinate delivery logistics but are not responsible for delays caused by third-party vendors, manufacturers, shipping carriers, weather, natural disasters, or other circumstances beyond our control.
  • Delivery Options: Depending on the product and vendor, delivery may include curbside drop-off, threshold delivery, room placement, or full white-glove service. Delivery options and associated costs will be communicated prior to order placement.
  • Inspection: You are responsible for inspecting all delivered items immediately upon arrival. Any visible damage must be noted on the delivery receipt and reported to us within 48 hours.

6. Cancellations, Returns, and Refunds

  • Membership Cancellation: You may cancel your membership at any time by contacting us at [email protected] or calling 651-358-2315. Cancellation will take effect at the end of your current billing period. No partial refunds will be issued for unused time.
  • Order Cancellation: Most of our vendor partners operate under a no-cancellation policy once orders are placed and confirmed. Custom or special-order items are typically non-cancellable and non-refundable.
  • Product Returns: Return policies vary by vendor and manufacturer. In general, furniture and home goods are final sale unless defective or damaged during shipping. We will communicate the specific return policy for each vendor before you place an order.
  • Damaged or Defective Items: If an item arrives damaged or defective, you must notify us within 48 hours of delivery. We will work with the vendor and carrier to arrange for repair, replacement, or refund according to their policies.
  • Return Shipping: If a return is approved, the member is typically responsible for return shipping costs unless the item was defective or incorrectly shipped.
  • Refund Processing: Approved refunds will be processed within 14-30 business days of the vendor's receipt and approval of the returned merchandise.

7. Product Warranties

  • Manufacturer Warranties: All product warranties are provided by the manufacturer or vendor, not by Retail Blackbook. Warranty terms, duration, and coverage vary by brand and product.
  • Warranty Claims: For warranty service or claims, members should contact the manufacturer directly using the warranty information provided with the product or contact Retail Blackbook for assistance in facilitating the claim.
  • No Additional Warranties: Retail Blackbook makes no additional warranties, express or implied, regarding the products sold through our service, including warranties of merchantability or fitness for a particular purpose.

8. Account Security

  • You are responsible for maintaining the confidentiality and security of your account login credentials.
  • You agree to notify us immediately at [email protected] of any unauthorized access or use of your account.
  • You are responsible for all activities that occur under your account, whether authorized by you or not.
  • Retail Blackbook is not liable for any loss or damage resulting from your failure to maintain account security.

9. Intellectual Property

  • All content on the Retail Blackbook website and platform, including but not limited to text, graphics, logos, images, product catalogs, videos, and software, is the property of Retail Blackbook or its content suppliers and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
  • You may not copy, reproduce, distribute, transmit, display, sell, license, or otherwise exploit any content from Retail Blackbook without our express written permission.
  • The Retail Blackbook name, logo, and all related marks are trademarks of Retail Blackbook. You may not use our trademarks without prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law, Retail Blackbook, its owners, officers, employees, and agents shall not be liable for:

  • Product Issues: Product defects, quality issues, or damages occurring during manufacturing, shipping, or delivery (these matters are addressed directly with the vendor, manufacturer, or carrier).
  • Delays: Delays in delivery, production, or fulfillment due to supply chain issues, vendor constraints, natural disasters, labor disputes, pandemics, or other circumstances beyond our reasonable control.
  • Third-Party Actions: Misuse, misrepresentation, or failure of products or services provided by third-party vendors or manufacturers.
  • Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or loss of use, even if we have been advised of the possibility of such damages.
  • Maximum Liability: In no event shall Retail Blackbook's total liability to you for all claims exceed the amount you paid for your membership in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Retail Blackbook, its owners, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your violation of any third-party rights; (c) your misuse of our services; or (d) your breach of the confidentiality provisions in Section 3.

12. Termination

  • Your Rights: You may cancel your membership at any time as described in Section 6.
  • Our Rights: Retail Blackbook reserves the right to suspend or terminate your membership and access to our services at any time, with or without notice, for any reason, including but not limited to: (a) violation of these Terms; (b) breach of the confidentiality agreement; (c) fraudulent activity; (d) abuse of our services or staff; or (e) any conduct we deem harmful to Retail Blackbook, our vendors, or other members.
  • Effect of Termination: Upon termination, your right to access and use our services immediately ceases. You will remain responsible for any outstanding payments or obligations. Pending orders may be canceled or fulfilled at our discretion.
  • No Refunds: Termination for violation of these Terms results in forfeiture of all membership fees without refund.

13. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

14. Dispute Resolution and Governing Law

  • Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.
  • Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms or your use of our services shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts.

  • No Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Changes to Terms and Conditions

Retail Blackbook reserves the right to update, modify, or replace these Terms and Conditions at any time at our sole discretion. We will make reasonable efforts to notify members of material changes by posting the updated Terms on our website with a new "Last Updated" date and, when appropriate, by sending an email notification. Your continued use of our services after any changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Retail Blackbook regarding your use of our services and supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral.
